Welcome to Cooper.ai! These Terms of Service (“Terms”) explain how you and your company can use our products and services. Please read them carefully — by using Cooper.ai, you agree to these Terms on behalf of your organization (“Client,” “you,” or “your”).

These Terms form a legal agreement between you and Cooper AI, Inc., a Delaware corporation (“Cooper.ai,” “we,” “us,” or “our”).

1. Who can use Cooper.ai

Cooper.ai is built for businesses, not individuals. You may use our services only if you’re authorized to act on behalf of your organization and your organization accepts these Terms. Your team members who access Cooper.ai must follow these Terms too.

2. What we provide

We offer software-as-a-service (“SaaS”) tools, decisions, and data analytics products (the “Platform”), along with optional professional services like data integration, AI model training, and custom analysis (“Professional Services”).Your company gets a right to use our Platform and related services for your internal business purposes — not to resell, copy, or compete with us.

3. Using our services responsibly

You agree not to:Reverse-engineer, copy, or modify our software;Use it to build a competing product;Interfere with our systems or try to access data you’re not authorized to see;Break any laws or data-protection rules while using our services.We may suspend access if your use threatens our systems or other customers.

4. Your data and privacy

Your data stays yoursYou own all data, content, and information you upload or share (“Client Data”). We only use it to provide and improve our services for you.AI model trainingIf we train or customize models using your data, that training is specific to your organization. We won’t use your data to train general models or for other clients without your written consent.SecurityWe maintain technical and organizational safeguards to protect your data, and we’ll promptly let you know if something goes wrong that affects it.

5. Professional services

Sometimes we’ll perform extra services — like data setup, integrations, or model tuning — under a separate Statement of Work (SOW) or order form. Each SOW is part of these Terms unless we both sign a different master agreement.

6. Payments

You agree to pay fees as outlined in your order form or SOW. Fees are typically due within 30 days of invoice. Taxes (other than our income tax) are your responsibility. Late payments may incur interest as allowed by law.

7. Confidentiality

Both sides agree to keep each other’s confidential information private.“Confidential Information” includes non-public business, technical, or customer information.Client Data is your Confidential Information.The Cooper.ai Platform and its underlying software are ours.We’ll only use each other’s Confidential Information to fulfill our obligations under these Terms.

8. Intellectual property

We retain all rights in the Cooper.ai Platform, documentation, and underlying technology. You keep all rights to your data and any custom models trained exclusively on it. Nothing in these Terms transfers ownership between us.

9. Warranties and disclaimers

We’ll do our best to keep the Platform secure and reliable. But other than what’s explicitly stated, we provide our services “as is” — without warranties of any kind, including implied warranties of merchantability, fitness for a purpose, or non-infringement.

10. Limitation of liability

To the fullest extent allowed by law:Neither party will be responsible for lost profits, indirect, or consequential damages.Each party’s total liability under these Terms won’t exceed the fees paid to Cooper.ai during the 12 months before the event that gave rise to the claim.

11. Term and termination

These Terms stay in effect while your subscription or services agreement is active. Either party can terminate for material breach with 30 days’ written notice if the issue isn’t fixed.When the relationship ends, we’ll disable your access and delete your data according to our data-retention policy, unless required by law to keep it longer.

12. Governing law and disputes

These Terms are governed by Delaware law. Any disputes will be handled exclusively in the state or federal courts located in Delaware.

13. Other legal stuff

- These Terms make up the entire agreement between your organization and Cooper.ai, unless we both sign something else in writing.
- Neither side can assign these Terms without the other’s consent, except to an affiliate or in a merger or acquisition.
- If any part of these Terms is invalid, the rest remains in effect.Notices can be sent by email or to the addresses listed in your order form.
